Educational and informational purpose

Everything published on the public platform — Blueprints, lessons, research, company and industry material, tools, competition entries and community discussion — is general educational and informational content. It is not tailored to the objectives, financial situation, risk tolerance or needs of any particular person.

No investment advice, no recommendations

Regal Investments does not provide personalised investment advice through the public platform, does not recommend that you buy, sell or hold any security, and does not act as your adviser, dealer, portfolio manager or fiduciary through it. Any securities, companies or transactions discussed are used as teaching examples and illustrations of method, not as suggestions to act.

Registration

In Canada, a person or firm in the business of trading in, or advising on, securities generally must be registered unless an exemption applies. In Québec, the Autorité des marchés financiers requires firms acting as dealers, advisers or investment fund managers to register in the applicable category unless exempt.

We treat the distinction between general education and specific advice — advice tailored to the needs and circumstances of a recipient about a particular security — as a design constraint on what the public platform does, not as a disclaimer added afterwards.

Where an activity in any part of our business would constitute a regulated activity, it is conducted through an appropriately registered entity or registered partner, or under a confirmed exemption.

The simulated fund and competitions

The simulated fund uses virtual capital. We do not accept, pool, hold or manage member money, and no member trades on behalf of another. Simulated and hypothetical results carry well-known limitations: they benefit from hindsight, they do not reflect the effect of real liquidity, financing, fees, taxes or slippage, and they are not indicative of any actual result. Competition placings measure process and reasoning in a training environment. They are not a performance record and they are not a credential recognised by any regulator.

Private capital

The private-capital side of the business is structurally and operationally separate from the public platform.

Nothing on this website is an offer to sell, or a solicitation of an offer to buy, any security. Any private-market participation would be offered only to investors who are legally eligible in their jurisdiction, under the applicable prospectus exemption, and only by means of definitive offering documents that contain the full terms and risk factors.

Note that a prospectus exemption and the dealer or adviser registration requirement are separate legal questions. Limiting participation to accredited investors does not by itself remove a registration requirement, and we do not treat it as though it does.

Risk

All investing involves risk, including the loss of the amount invested. Past performance does not indicate future results.

Private investments carry additional risks: they are illiquid and may not be saleable at any price, they may be impossible to value independently, they may require further capital over long periods, information about them may be limited, and they can lose their entire value. They are not suitable for every investor, including many who technically qualify to participate.

Conflicts of interest

Regal Investments and its personnel may hold positions in businesses, sectors or securities discussed on the platform, and may have advisory relationships with companies mentioned. The advisory practice is compensated by clients under engagement letters. Sponsors may fund content, events or competitions; sponsored material is identified as such and sponsors do not direct research conclusions.

Third-party content and data

Data, estimates and third-party material are provided as-is. We do not warrant that anything on the platform is accurate, complete or current, and you should verify anything you intend to rely on.

Forward-looking statements

Material on the platform may contain forward-looking statements about markets, companies or our own business. These reflect present expectations, are subject to risks and uncertainties, and actual outcomes may differ materially.

Jurisdiction

The platform is operated from Canada. It is not directed at any person in a jurisdiction where its availability would be contrary to local law.
